The Company and Client do hereby agree to abide by the terms set out in this Agreement. The terms of this Agreement are as follows:
STORAGE AND HANDLING RATES
The Client appoints the Company to perform, and the Company agrees to perform, storage and handling of the following merchandise (hereinafter referred to as "Goods"), at the following rates, as required by the Client during the term of this Agreement:

TERMS OF AGREEMENT

TENDER FOR STORAGE
All goods for storage will be delivered at the warehouse located at __________________, __________________, in the State of ________________, properly marked and packaged for handling. The Client will provide at or prior to delivery a list showing marks, brands, or sizes to be kept and accounted for separately, and the class of storage and other services desired.
SHIPPING OF GOODS
The Client agrees not to ship goods to the Company as the named consignee. Goods that are shipped to the Company as the named consignee, must be notified as the carrier of goods in writing before the shipment, with a copy of the notice sent to the Company, stating that it has no beneficial title or interest in the sent goods.
The Client will protect the Company against any and all claims for unpaid transportation charges, including under charges, detention charges, or charges of any other nature, in connection with goods being shipped. If the Client fails to notify the carrier with this provision, the Company will have the right to refuse goods and will not be liable or responsible for any loss, or damage to the shipped goods.
REFUSAL OF GOODS
The Company may refuse to accept goods for storage or other services that do not conform to the description in this Agreement. If the Company accepts such goods, the Client agrees to rates and charges as may be invoiced by the Company, as well as to all terms of this Agreement.

EFFECT OF AGREEMENT
The responsibilities, rights and liabilities in this Agreement will adapt to the benefit of the Company and the Client and their respective heirs, executors, administrators, and successors.
AMENDMENT OF AGREEMENT
Any amendment or modification of this Agreement or additional obligation assumed by either party in connection with this Agreement will only be binding if evidenced in writing signed by both parties.
GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the State of _________________.
HEADINGS
Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement.
